By joining the Zedit Limited Web3 KOL Network (a.k.a Zedit KOLs), the KOL (Key Opinion Leader) agrees to provide accurate and truthful information and to conduct all activities in good faith. Zedit Limited reserves the right, at its sole discretion, to amend these terms, suspend, or terminate the KOL’s participation. All referral and collaboration agreements must be conducted transparently and honestly.

Confidentiality and Exclusivity

The KOL shall not attempt to contact clients directly or bypass Zedit Limited in any manner that circumvents Zedit Limited’s role in the collaboration. All communications with clients must be conducted exclusively through Zedit Limited. The KOL agrees not to offer services directly to any client or engage in behavior that may jeopardize or interfere with the existing deal negotiated through Zedit Limited.

Legal and Regulatory Liability

Zedit Limited acts solely as an intermediary, facilitating introductions between KOLs and potential sponsors. Zedit Limited shall bear no liability for reputational damage, legal disputes, regulatory actions, or any penalties arising from the KOL’s participation in collaborations. The KOL is solely responsible for performing due diligence on sponsors and assumes full responsibility for complying with applicable laws, regulations, and disclosure requirements. Zedit Limited disclaims any liability for financial, reputational, or legal damages, including, but not limited to, legal fees and penalties incurred by the KOL.

Content Obligations

The KOL agrees to produce content that is educational in nature and shall not provide financial advice. The KOL is responsible for ensuring that all disclosures and content guidelines are met in accordance with applicable laws. Zedit Limited bears no responsibility for the accuracy of wallet addresses or any financial discrepancies that may occur. The KOL is responsible for ensuring the accuracy of all submissions related to payments and content.

Payment Terms and Finder’s Fee

Zedit Limited charges a 15% finder’s fee for sourcing opportunities and securing deals for KOLs. If the client pays the KOL directly, the KOL is obligated to remit the 15% finder’s fee to Zedit Limited upon issuance of the invoice. Should the client remit payment to Zedit Limited, the agency will deduct the 15% fee before transferring the balance to the KOL. Zedit Limited assumes no liability for any unpaid balances resulting from the client’s non-payment or cancellation of the deal.

Content Ownership and Deadlines

The KOL is responsible for adhering to all deadlines and content requirements as specified by the sponsor, while maintaining the integrity of their creative process. The KOL shall not delete, unlist, archive, or otherwise hide any sponsored content without express written consent from the sponsor.

Referral Commission

Referral commissions will be paid in cryptocurrency (stablecoins) and are typically disbursed within 30 days following the completion of the campaign. The KOL is solely responsible for managing any tax obligations arising from payments received in cryptocurrency.

Misuse of the Network

KOLs are prohibited from engaging in any behavior that misuses or abuses the Zedit Limited KOL Partner Network. Any acts of fraud, deception, or manipulation will result in immediate termination from the network, at Zedit Limited’s sole discretion.

Amendments and Termination

Zedit Limited reserves the right to amend these terms at any time. Failure to comply with these terms and conditions may result in immediate suspension or permanent removal from the network.

No Liability for Social Media Issues

Zedit Limited is not responsible for any suspension, deletion, or restriction of the KOL’s social media accounts as a result of their collaborations or content. The KOL assumes full responsibility for managing and protecting their social media presence.

No Liability for Audience Losses

Zedit Limited shall not be held liable for any financial losses, damages, or other claims brought by the KOL’s followers, subscribers, or community members arising from content or collaborations. The KOL is responsible for communicating any investment risks associated with the sponsored product or service.
